These Terms of Service ("Terms") govern your access to and use of the website at nextorbit.app and the software products provided by Next Orbit OÜ ("Next Orbit", "we", "us", or "our"), including applications we publish on the Atlassian Marketplace (together, the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who we are
Next Orbit OÜ is a private limited company registered in Estonia, registry code (registrikood) 17501338, with a registered address at Sepapaja 6, 15551 Tallinn, Estonia. You can reach us at hello@nextorbit.app.
2. The Services
We provide informational content on our website and software applications that extend third-party platforms, in particular Atlassian products such as Jira and Confluence. Our apps are installed into your Atlassian environment by an administrator and run within that environment.
3. Atlassian platform and third-party terms
Our apps are distributed through the Atlassian Marketplace and run on Atlassian infrastructure. Your use of Atlassian products, and your acquisition and installation of our apps through the Marketplace, are also subject to Atlassian's applicable terms, including the Atlassian Marketplace Terms of Use. Where those terms govern the purchase, billing, or installation of an app, they apply in addition to these Terms.
4. Licence to use our apps
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use our apps for their intended purpose within your authorised Atlassian environment. Apps offered free of charge are provided at no cost; we may introduce, change, or discontinue pricing or features on a going-forward basis, with any paid terms disclosed on the relevant Marketplace listing.
5. Acceptable use
You agree not to: (a) use the Services in violation of any applicable law; (b) attempt to gain unauthorised access to, interfere with, or disrupt the Services or related systems; (c) reverse engineer, decompile, or attempt to extract source code except to the extent permitted by law; or (d) use the Services to infringe the rights of others.
6. Your data
Our apps process data within your Atlassian environment as described in our Privacy Policy. We do not export your content to servers outside Atlassian and we do not store your personal data. You are responsible for your use of your Atlassian environment and for the data you maintain there.
7. Intellectual property
The Services, including all software, text, and design, are owned by Next Orbit OÜ or our licensors and are protected by intellectual property laws. Except for the licence expressly granted above, no rights are transferred to you. "Next Orbit" and our logos are our trademarks; you may not use them without our prior written consent.
8. Disclaimer of warranties
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any report or output is complete or accurate for your particular purpose.
9. Limitation of liability
To the maximum extent permitted by law, Next Orbit OÜ will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the Services. To the extent liability cannot be excluded, our total aggregate liability arising out of or related to the Services will not exceed the amount you paid us for the relevant app in the twelve months preceding the event giving rise to the claim, or, for a free app, one hundred euros (€100).
10. Indemnity
You agree to indemnify and hold harmless Next Orbit OÜ from any claims, damages, and expenses arising out of your misuse of the Services or your violation of these Terms.
11. Termination
You may stop using the Services at any time by uninstalling our apps. We may suspend or terminate access to the Services if you breach these Terms or if required to protect the Services or comply with law. Provisions that by their nature should survive termination (including Sections 7–10) will survive.
12. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-laws principles. The courts of Estonia will have jurisdiction over any dispute, subject to any mandatory consumer-protection rules that may apply to you.
13. Changes to these Terms
We may update these Terms from time to time. We will change the "Last updated" date above and, where appropriate, provide additional notice. Continued use of the Services after an update constitutes acceptance of the revised Terms.
